ABOUT RSPC

Rosenberg & Steinmetz PC (“RSPC”) was established by Rachelle Rosenberg and Elliot Steinmetz in 2014 with the goal of being a modernized law firm with a unique background better suited for today’s marketplace. With a focus on commercial real estate, RSPC has the ability to serve clients on more than one need and is often in position to facilitate relationship-building amongst its clients to their greater benefit. Clients are able to engage RSPC for various needs which allows for a familiarity with the client and matters at hand, saving on time and cost of getting up to speed. RSPC creates an “in-house” feel for the client.

RSPC’s transaction practice includes bridge and mezzanine financing, preferred equity investments, acquisitions and sales, leases and joint ventures, along with other general commercial and corporate matters. RSPC’s litigation practice covers commercial foreclosures, commercial landlord-tenant actions, adverse possession/prescriptive easement actions, partnership and broker disputes, specific performance actions, quiet title actions, RPAPL 881 proceedings for access to neighbors during construction as well as all other matters involving commercial real estate and general commercial disputes. RSPC’s ability to represent private lenders, investors, developers, landlords and brokers in a variety of transactions and litigations makes RSPC an invaluable resource for its clients’ commercial real estate and financing needs.

Coming from different backgrounds and experience, Rachelle Rosenberg and Elliot Steinmetz bring an innovative approach to the practice of law which maximizes efficiency in their representation of clients.

With Rachelle and Elliot’s combined backgrounds consisting of years of litigation and transactional experience along with high level in-house counsel experience, RSPC is not only able to provide standard and excellent legal services, but also provide insight and a business understanding from the client’s perspective on how best to approach each legal matter. Our Areas of Practice include:

Litigation

Our litigation team handles a wide variety of commercial litigations in State Supreme Court, the Appellate Divisions and the Eastern and Southern District of New York.  Our real estate related representation includes commercial landlord and tenant proceedings, commercial foreclosures, co-op and condo disputes, adverse possession, construction defects, access agreements and RPAPL 881 proceedings to obtain such access, specific performance, quiet title and brokerage commission disputes.   We also appear and represent both plaintiffs and defendants in general commercial litigations such as partnership disputes, personal injury, breach of contract related to various industries, fraud, replevin and conversion, and corporate dissolution.

Real Estate Acquisitions and Sales
RSPC represents both individual and corporate clients in their acquisitions and sales of commercial real estate.  RSPC represents clients acquiring and selling commercial, multi-family and mixed-use properties, and ground leases.  RSPC will assist in all partnership and ownership needs, including, joint ventures, partnerships and equity investments, and negotiation of ownership and operating agreements.

Real Estate Financing

Our transaction team handles various types of matters in the real estate financing space.  RSPC represents both lenders and borrowers in all their financing needs, including, preferred equity investments, “hard money” loans, bridge financing, mezzanine financing and mortgage refinances. RSPC can assist in structuring and executing creative financing solutions for our lending clients.

Leasing
RSPC brings an added insight when preparing and reviewing leases for both commercial landlords and tenants.  RSPC’s litigation team has collective extensive experience representing landlords and tenants in lease disputes, non-payment and holdover proceedings.   This insight assists our transaction team in representing clients in office, retail, restaurant and other commercial leasing.

Corporate
RSPC assists its real estate and other business clients with its corporate needs.  Our services include negotiation, review and drafting of ownership and operating agreements for joint ventures, partnerships, corporation or limited liability companies.

General Counsel Services

RSPC serves as outside “in-house” counsel for large corporations on project-based matters, and assists small to mid-size companies and start-ups with their everyday legal needs.  Our general counsel services includes drafting organizational and corporate documentation and resolutions, drafting, reviewing and negotiating various agreements including confidentiality agreements, employment agreements, non-solicitation and non-compete agreements, service or vendor agreements and other company-specific agreements.
